These Terms of Service ("Terms") govern your access to and use of PRISM and related services provided by OvaryIt Holdings, Inc. ("OvaryIt", "we", "us"). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using PRISM, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use our services. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Description of Services

PRISM is an integrated electronic health record (EHR) platform designed specifically for pharmacist providers. Our services include clinical workflow automation, documentation tools, clinical decision support, e-prescribing capabilities, and related features to support pharmacy-based clinical services.

3. Eligibility and Account Requirements

To use PRISM, you must:

Be a licensed pharmacist or authorized pharmacy staff member
Be affiliated with a licensed pharmacy in a state where PRISM operates
Provide accurate and complete registration information
Maintain the security of your account credentials
Comply with all applicable laws and regulations

4. Professional Responsibility

PRISM is a tool to support clinical decision-making, not a replacement for professional judgment. You remain solely responsible for all clinical decisions, prescribing activities, and patient care. Clinical decision support features are informational and do not constitute medical advice. You must verify all information and exercise independent professional judgment.

5. Acceptable Use

You agree not to:

Use the services for any unlawful purpose
Share your account credentials with unauthorized users
Attempt to circumvent security measures
Interfere with the proper functioning of the services
Use the services in violation of HIPAA or other healthcare regulations
Reverse engineer, decompile, or disassemble the software

6. HIPAA Compliance

PRISM is designed to support HIPAA compliance. We will enter into a Business Associate Agreement (BAA) with covered entities as required. You are responsible for ensuring your use of PRISM complies with HIPAA and applicable state privacy laws.

7. Fees and Payment

Subscription fees are billed monthly or annually as selected. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of services.

8. Intellectual Property

PRISM, including all software, content, and documentation, is owned by OvaryIt and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the services. You retain ownership of your patient data and clinical documentation.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVARYIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OvaryIt and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the subscription with 30 days written notice. We may suspend or terminate your access immediately for violation of these Terms. Upon termination, you may request export of your data within 30 days.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
